Bridge.audio is a SaaS mode tool allowing centralized management of music for professionals and individuals. These general conditions of sale and use (hereinafter “Terms of service”) are intended to define the terms and conditions of use of the services and extensions offered by the bridge.audio.com site (hereinafter “the Site / The Platform ”), which is published by the company BRIDGE AUDIO, SAS with a registered capital of 981 438,70€, registered at Paris RCS under number 879 917 359, located 92 Boulevard de Sébastopol, 75003 Paris – France, + 33 6 20 48 45 11.

In the following terms and conditions, a “User” defines any individual or legal entity, company or structure wishing to benefit from the services of BRIDGE AUDIO under the conditions detailed below, or those governed by the various packages offered by the latter.

Description of services provided

Bridge.audio is a SaaS solution for music professionals that allows them to collect, organize and share their music and assets, in particular:

• Store your assets: music of course, but also all other files (video, images, documents).
• Collaborate with your team and collaborators (shared playlists, title chat systems and playlists).
• Organize and share these files: creation of projects that can be easily shared in streaming or download
• Access statistics on listening and downloading
• Enrich music files with information automatically retrieved via external services …

(Hereinafter together the “Service”)

Conditions of access to services

The Site / Platform allows the use of access to the services described in Article 1. of these terms of services and privacy policy. Access to the Services can only be done through the Internet network and requires a prior connection to the said network at the following Internet address: https://www.bridge.audio

By browsing the Site / Platform, the User accepts all of these terms of services. These terms of services and privacy policy may be modified or supplemented at any time, Users of the Site / Platform are therefore invited to consult them on a regular basis.

When registering online, the User undertakes to provide true, exact and complete information as requested in the registration form and therefore to keep it up to date without delay. In the event that the User provides false, inaccurate, outdated or incomplete information, the Site is entitled to suspend or terminate his Subscription and to refuse him, immediately and for the future, access to all or part of the Site / Platform.

Minors are allowed to register and / or subscribe to the Site / Platform, on condition that they have previously obtained the authorization to do so from their holder (s) of parental authority, and that their parental authority holder (s) has (have) agreed to be the guarantor (s) of the minor User’s compliance with these terms of services and privacy policy. Any use of the services and / or subscriptions available on the Site / Platform by a minor User is carried out under the full responsibility of the holder (s) of parental authority over the minor User concerned.

If the User benefits from the Service on behalf of his employer and / or another organization, the User accepts all of these terms of services and privacy policy and declares that he can do so.

In case of non-acceptance of these terms of services and privacy policy, the User must renounce access to the Services offered by the Site / Platform.

Free version

Bridge.audio offers a version without subscription, completely free however with limited functionality. The free version also requires an online registration by the User giving him access to the services.

Subscription

The use of the Bridge.audio Services is invoiced in return in the form of an Annual or Monthly Subscription, the price of which is indicated on our pricing page and/or sent by email by quote. The Subscription will take effect from the date of electronic validation hereof. It is concluded for an indefinite period with or without a minimum initial period of commitment, depending on the Subscription formula that the User has chosen. To be able to benefit from the Services, except for the free version, the User will pay a periodic fee in accordance with the specific conditions specified by the terms of services.

Access to the Services and the use of the related extensions is a right granted exclusively under the conditions determined by the Subscription taken out, in particular for the number of Users, the functionalities, the assistance and the storage space defined by the formula subscribed.

Payment terms

When the User places an Order, he expressly acknowledges having read these terms of services and privacy policy, prior to placing the Order. The validation by the User of the Order constitutes acceptance of the terms of services and privacy policy, a copy of which can be viewed on the dedicated tab and / or downloaded online from the Site / Platform. A summary of the Online Order will be sent to the email provided when registering to the User. Any order implies an obligation to pay for the Order by the User. The User acknowledges that the placing of an Order commits him to payment for it.

The total price of each Subscription is paid at the start of the Subscription or of the renewed period, unless otherwise indicated on the order form. Payment is made by direct debit from the bank details provided on registration. The direct debit is implemented by one of our secure payment providers, who alone keeps your payment details: Bridge.audio does not keep any bank details. The User guarantees that he has the necessary funds and authorizations to use the chosen payment method. The User agrees to take the necessary measures so that the automatic debit of the price of the Services can be made.

Any delay or incident in payment of all or part of an amount due, and which is directly attributable to the User, will automatically, and after prior notification to the User, result in :

• the immediate suspension of the Services provided until full payment of all amounts due;
• invoicing late interest at the rate of three times the legal interest rate in effect on the date of the order, based on the amount of all amounts due. Any professional in a situation of late payment is automatically liable, in addition, to compensation of € 40 for collection costs.

Responsability and guarantees of the User

The User is solely responsible for the use he makes of the Site/Platform. He expressly acknowledges that his use of the Site/Platform and the Services is at his own risk and that the Site/Platform is accessible to him “as is” and depending on its availability.

The User undertakes to behave in a normal and reasonable manner and not to hinder, in any way whatsoever, the proper functioning of the Site/the Platform. The User undertakes to use the Services and all the information to which he/she may have access only for personal reasons and for a purpose that is consistent with public order, good morals and the rights of third parties.

The User undertakes not to disrupt the use that other Users may make of the Site/Platform, not to access the accounts of third party users, not to fraudulently access, hinder or disrupt the access systems of the Site/Platform and not to bypass, disable or disrupt the security systems of the Site/Platform.

In the event of a breach by the User of one or more of its obligations under these terms of services and privacy policy, Bridge.audio reserves the right, after prior notification to the User, to disable the User’s access to the Site/Platform and the Services temporarily or permanently, without prejudice to any damages.

Termination

The Subscription can be terminated at any time, by the User, by email notification to the following address: hi@bridge.audio

Bridge.audio will take care of the termination and deactivation of the automatic renewal, within a fixed period of 30 days. This action can be canceled within 15 days of the deactivation of the account by our services, by express request of the User in question by email to the aforementioned address. After this period, this action is irreversible and therefore does not allow the account data to be recovered subsequently.

The termination does not entail any penalty and does not give rise to reimbursement for the current period.

Intellectual property and counterfeits.

All content of the Site/Platform (excluding content imported by the User), including but not limited to the structure of the Site/Platform, editorial content, drawings, illustrations, images, photographs, graphic charts, brands, logos, acronyms, company names, texts, musical and audiovisual works, multimedia works, visual content, audio and sound content, as well as any other content or element present on the Site/Platform (hereinafter referred to as “the Content”), is the exclusive property of Bridge.audio and/or its licensors. The material and intellectual property of all content imported by Bridge.audio Users into their workspace(s), including in particular phonographic, videographic and multimedia recordings, trademarks, visuals, texts, etc., remains the exclusive property of the User.

These terms of services and privacy policy do not imply any transfer of any kind of intellectual property right on the elements belonging to Bridge.audio and/or its licensors, such as software, trademraks, graphic charters, logos, etc., to the benefit of the User. These provisions shall apply mutatis mutandis to elements belonging to the User and imported onto the Site/Platform.

Bridge.audio and/or its licensors shall not infringe, directly or indirectly, the intellectual property rights of the User. No license, transfer, even partial and/or temporary, of any intellectual property rights whatsoever in respect of phonographic, videographic or multimedia recordings, trademarks, visuals, texts, etc. imported by the User shall be granted to Bridge.audio by virtue of this Agreement. Likewise, Bridge.audio undertakes not to sell, grant in any way whatsoever or associate with third party brands the said phonographic, videographic, multimedia recordings, brands, visuals, texts, etc., imported by the User.

In this regard, it is specified that Bridge Audio is the owner of the intellectual property rights on the French word and figurative trademarks registered with the INPI “BRIDG.AUDIO” (n ° 4415041), “BRIDG” and the logo “b” (n ° 4415045), and “BRIDGE.AUDIO” (n° 4525650)..

Consequently, the User is forbidden to take any action that may directly or indirectly infringe the intellectual property rights of Bridge.audio and/or its licensors.

Any reproduction, distribution, modification, adaptation, retransmission or publication, even partial, of these various elements, for purposes other than private, are strictly forbidden without the prior written agreement of Bridge.audio, are constitutive of counterfeiting and are likely to engage the civil and/or penal responsibility of their author.

Privacy Policy

Limitations of Liability.

Bridge.audio is bound by an obligation of means concerning the accessibility, the functioning and/or the availability of the Site/Platform and/or the Services. Bridge.audio reserves the right to interrupt, suspend or limit access to all or part of the Site/Platform and/or the Services, in particular due to technical or legal constraints, with prior notice to the User.

Bridge.audio cannot be held responsible for any direct or indirect damage caused to the User’s equipment when accessing the Site, and resulting either from the use of equipment that does not meet the specifications indicated in this article, or the appearance of a bug or an incompatibility.

Bridge.audio cannot be held liable for indirect damages (such as, for example, a loss of market or loss of opportunity) resulting from the use of the Site. The User has the right to ask any question relating to this Site, as well as his personal data to the email address and the telephone number provided in these terms of services and privacy policy.

Bridge.audio reserves the right to remove, without prior notice, any content posted in this space that would violate the law applicable in France, in particular the provisions relating to data protection. Where applicable, Bridge.audio also reserves the right to question the civil and / or criminal liability of the User, in particular in the event of communication of a racist, abusive, defamatory or pornographic message, whatever the medium. used (text, photography…).

Bridge.audio cannot be held responsible for material damage related to the use of the Site / Platform.

The User makes sure to keep his password secret. Any disclosure of the password, whatever its form, is prohibited. He assumes the risks associated with the use of his username and password. The Site / Platform declines all responsibility in this regard.

The Site / Platform cannot be held liable in the event of force majeure or the unforeseeable and insurmountable fact of a third party.

Assistance - Technical Support - Backup - Maintenance

In order to constantly improve the quality of its Services, its form and nature, in particular the mode of access to existing functionalities, are subject to change without notice, for technical and / or editorial reasons, the User accepts that this maintenance may give rise to a temporary suspension of the Service and of access to the Service. This suspension will take place as far as possible between 10 p.m. and 7 a.m. on working days. The User will be notified 24 hours in advance, by email or via the Service. The User also has access to an internet support web space providing User guides, FAQs and videos. The User, as part of the access to the subscribed Service, benefits from a guarantee of backup of his data.

Communications and Notifications

If the User accepts to be informed by email of new services, product launches, changes to the conditions of use or invoicing of the Services, the User will receive these notifications at the email address provided within the Personal Space.

Applicable law and attribution of jurisdiction.

Any dispute in connection with the use of the Bridge.audio site will be the subject of an attempt to resolve it amicably. Otherwise, disputes will be subject to French law and brought to the competent courts of Paris.

Nullity

If any of the provisions of these Terms of services and privacy policy were declared null or inapplicable in application of a law, a regulation or following a court decision that has become final, it would be deemed unwritten and the other provisions would remain in force.
